This Membership Agreement ("Agreement") is entered into between Eleana Inc. ("Company," "we," "our," or "us") and the individual or entity agreeing to these terms ("Member," "you," or "your") in connection with your enrollment in the Eleana Inc. Exclusive Membership Program ("Program"), as detailed at https://eleana-us.com/url/exclusivemembership
(Program Page).

By enrolling in the Program, you agree to be bound by this Agreement.

1. Program Overview

The Program offers exclusive benefits, rewards, and services to enrolled Members, as described on the Program Page. These may include (but are not limited to):

Annual rebates on eligible services

Discounts on select design, marketing, and business solutions

Priority access to new offerings and promotions

Other exclusive Member-only benefits

Eleana Inc. reserves the right to update, modify, or terminate any aspect of the Program at its discretion. We will provide reasonable notice of significant changes.

2. Membership Eligibility

Membership is open to businesses and individuals who complete the enrollment process and agree to pay applicable membership fees. Membership approval is at the sole discretion of Eleana Inc.

3. Membership Fees & Term

Membership is billed annually unless otherwise stated.

Fees are due at the time of enrollment and at each renewal.

All fees are non-refundable unless otherwise required by law.

4. Rebates & Exclusions

Eligible Members may receive annual rebates on certain services provided by Eleana Inc.

Exclusions:

Subscription-based services such as web hosting, domain name registration/renewal, SSL certificates, and other ongoing subscription products are not eligible for annual rebates.

Additional exclusions may apply as listed on the Program Page or as updated from time to time. Members will be notified of any material changes. Rebate eligibility and process will be detailed on the Program Page and/or in your Member account portal.

5. Member Responsibilities

Members agree to:

Maintain accurate and current contact and payment information.

Use Program benefits in accordance with this Agreement.

Abide by Eleana Inc.’s general Terms of Service and any additional policies that apply to specific services.

6. Indigo Card Management & Expiration

Certain Members may be authorized by Eleana Inc. to manage and enroll third parties into Indigo-level memberships (“Indigo Cards”).

Each Indigo Card enrolled by a managing Member shall have an expiration date of one (1) year from the date the managing Member enrolls the Indigo Card holder, or

The expiration date of the managing Member’s own active Membership,

Whichever occurs first.

If the managing Member’s Membership expires, terminates, or is otherwise no longer active for any reason, all Indigo Cards managed by that Member shall automatically expire on the same date, regardless of the original enrollment date.

Indigo Cards do not renew automatically unless otherwise expressly authorized by Eleana Inc.

7. Termination of Membership

Eleana Inc. may terminate your Membership if:

You breach this Agreement or any applicable policies.

You fail to pay applicable fees.

Eleana Inc. discontinues the Program (with reasonable notice provided).

You may terminate your Membership at any time, but no partial refunds will be provided for unused Membership periods.

8. Limitation of Liability

Eleana Inc. shall not be liable for indirect, incidental, or consequential damages arising from or related to the Program. Our total liability under this Agreement will not exceed the Membership fee paid for the current term.

9. Non-Transferability and Authorized Users

Membership benefits are non-transferable and may only be used by the individual or business named on the Membership account. Use of Membership benefits by any party not explicitly named on the account is strictly prohibited.

If you wish to grant access to additional users (e.g., employees or associates), they must be added as Authorized Users to your account. Each Authorized User must be registered and approved by Eleana Inc., and an additional fee of $20 per Authorized User will apply annually. Only named Members and approved Authorized Users may utilize the benefits under this Program.

10. Miscellaneous

This Agreement is governed by the laws of the State of Montana, without regard to conflicts of law principles. Any disputes shall be resolved in a court of competent jurisdiction in Montana.

This Agreement constitutes the entire agreement between you and Eleana Inc. concerning your Membership.

By enrolling in the Eleana Inc. Exclusive Membership Program, you acknowledge that you have read, understand, and agree to the terms of this Agreement.
